These Terms of Service (“Terms”) are a contract between you and Auctor LLC (“Auctor,” “we,” “us,” or “Hiroba”) governing access to and use of the Hiroba websites, applications, and related services at hiroba.io and api.hiroba.io (the “Service”).
By creating an account, connecting a payment account, listing or purchasing tables or tickets, or otherwise using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.
THIS DOCUMENT IS A DRAFT PENDING LEGAL REVIEW AND IS NOT YET IN FORCE. Until we publish an effective version and record your acceptance, these pages are provided for transparency and review only.
Hiroba is an event-management platform for trading-card and similar shows. Depending on how you use the Service, you may be:
• an Organizer — an account that creates and manages shows, floor plans, vendor inventory, ticketing, and communications;
• a Vendor — a person or business that applies for or purchases table space at an Organizer’s show;
• an Attendee — a person who purchases or holds a ticket to a show;
• Staff or door personnel acting for an Organizer.
Organizers are responsible for the shows they list: pricing, inventory, refund policies they publish, on-site operations, and communications they send. Hiroba provides software and payment facilitation; Hiroba does not promote, produce, or guarantee any particular show unless we expressly say otherwise in writing.
You must provide accurate registration information and keep it current. You are responsible for activity under your credentials and for safeguarding magic-link tokens, portal session tokens, and volunteer door links.
You must be at least 18 years old (or the age of majority where you live) to create an Organizer account or enter a binding purchase. If you are under 18, you may use Attendee features only with a parent or guardian’s involvement as required by law.
We may suspend or terminate access for fraud, chargeback abuse, harassment, security risk, or material breach of these Terms.
When you buy a ticket or a vendor table through Hiroba, you are contracting with the Organizer for the show itself (admission, booth space, show policies). Hiroba facilitates listing, checkout, messaging, and related tools.
Show details — dates, venue, table layout, ticket types, and published policies — are set by the Organizer. Always read the show page before purchasing.
Payments are processed by Stripe. Organizers connect a Stripe account to receive funds. Hiroba charges a platform fee on qualifying transactions.
Current published schedule (subject to change with notice on the Service):
• Vendor tables: 5% platform fee plus card-processing costs are withheld from the Organizer; the Vendor pays the listed face value (before any Organizer-offered discounts).
• Attendee tickets: 5% platform fee plus $1.00 per ticket, plus card-processing costs, are withheld from the Organizer; the Attendee pays the listed face value.
On Hiroba’s current Stripe Connect configuration (destination charges), Auctor LLC is the merchant of record for card charges processed through the platform. Your statement may show a Hiroba descriptor together with a shortened show name. Net amounts are transferred to the Organizer’s connected Stripe account according to Stripe’s payout timing.
We do not store full card numbers. Payment credentials are handled by Stripe under Stripe’s terms.
Failed, delayed, or reversed payouts caused by Organizer Stripe account issues, bank rejects, or Stripe risk holds are between the Organizer and Stripe. Hiroba is not a bank and does not hold customer funds as a depository.
Organizers set their own refund terms for their shows and must disclose those terms on the show page before purchase. Hiroba is the payment facilitator, not the guarantor of the Organizer’s refund policy.
Where an Organizer issues a refund through the Service, Hiroba processes the refund through Stripe. Unless we state otherwise, platform fees associated with a refunded charge are handled according to our then-current refund practice disclosed in the product or these Terms.
Hiroba may initiate or require a refund, credit, or cancellation — and may recover corresponding amounts from the Organizer as described in Section 7 — when needed for fraud, suspected unauthorized transactions, chargebacks or disputes, show cancellation initiated through the Service, legal or card-network requirements, or clear inventory errors. That platform carve-out applies even if the Organizer’s published policy says “no refunds.”
Show cancellations processed through the Service may refund succeeded charges for that show according to the product’s cancellation flow.
Cardholders may dispute charges with their bank. Because destination charges on the platform account are merchant-of-record charges for Auctor LLC, dispute amounts and related fees may be debited from Hiroba’s Stripe balance.
For Vendor-table charges, Organizers agree that Hiroba may recover dispute amounts, Stripe dispute fees, and related costs by transfer reversal, deduction from pending or future payouts, invoice, or other lawful means. If a dispute is later won, Hiroba will restore recovered amounts as appropriate.
For Attendee-ticket charges, Hiroba may absorb dispute costs as a cost of the Service or may recover them from the Organizer where the dispute arises from the Organizer’s conduct (including cancelled or misrepresented shows). We will apply this distinction in good faith; nothing here waives card-network or Stripe rules.
Organizers must reasonably cooperate with evidence requests. Failure to cooperate may result in unrecovered losses remaining with the Organizer under this Section.
This Section is a core commercial term of the Service. If you cannot accept it, do not connect Stripe or sell through Hiroba.
Vendors are responsible for the accuracy of their profile information and for complying with Organizer rules and venue rules. Table selection, holds, waitlists, and AutoPay applications follow the flows shown at checkout; held inventory may expire if checkout is abandoned.
A Vendor’s profile is a single identity shared across every Organizer who works with that Vendor on the Service. Ratings, notes, and no-show flags an Organizer records about a Vendor are tied to that shared identity and may be visible to other Organizers, including ones the Vendor has not yet applied to sell with. Hiroba does not currently provide a way for a Vendor to view, dispute, or correct a rating recorded about them.
Attendees are responsible for safeguarding QR tickets and for complying with door and venue policies. Multi-day passes entitle entry according to the ticket type’s day rules enforced at check-in.
Hiroba may refuse or reverse transactions that appear fraudulent or abusive.
Transactional messages about a show you bought into (tickets, badges, reminders, cancellations, payment failures) may be sent regardless of marketing preferences.
Promotional email from an Organizer requires consent scoped to that Organizer. You can unsubscribe via the link in promotional emails without logging in. Stopping one Organizer does not automatically stop others unless you choose “all organizers.”
Organizers must comply with CAN-SPAM and other applicable email laws for messages they send through the Service.
You may not: misuse the Service; probe or disrupt systems; scrape in a way that harms the Service; upload malware; impersonate others; use the Service for unlawful goods or events; harvest personal data without a lawful basis; or circumvent fees, holds, bans, or security controls.
Organizers must not use vendor notes, ratings, or “do not invite” flags to discriminate unlawfully. Adverse notes about identifiable people should be accurate and necessary for legitimate show operations.
Hiroba, its software, branding, and documentation are owned by Auctor LLC or its licensors. You receive a limited, revocable license to use the Service as offered.
You retain ownership of content you upload (show details, logos, floor-plan edits, messages). You grant Hiroba a license to host, display, and process that content to operate the Service. Public show pages and embeds may display content you mark public.
Optional AI-assisted floor-plan editing may send plan context and your instructions to a model provider (currently Anthropic) to generate editing commands. Outputs can be wrong; you must review the plan before selling inventory against it. Do not paste secrets or unrelated personal data into the assistant.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that shows will occur as described, that door check-in will be uninterrupted on venue networks, or that floor-plan templates perfectly match physical venues. Seeded venue templates may include assumptions; Organizers must verify layouts before sale.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUCTOR LLC AND ITS SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION.
OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF THE SERVICE IS LIMITED TO THE GREATER OF (A) FEES YOU PAID TO HIROBA FOR THE SERVICE IN THE THREE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted.
Organizers agree to defend and indemnify Auctor LLC against claims arising from their shows, listings, refunds, on-site conduct, discrimination, or content, except to the extent caused by Hiroba’s willful misconduct.
Vendors and Attendees agree to indemnify Auctor LLC against claims arising from their misuse of the Service or violation of these Terms.
Our Privacy Policy at /privacy explains how we collect and use personal information. By using the Service, you acknowledge that policy.
We may update these Terms. Material changes will be posted on this page with a new version identifier. Continued use after the effective date constitutes acceptance where permitted by law. For Organizers, we may require re-acceptance in-product when a new version is published.
These Terms are governed by the laws of the State of North Carolina, excluding conflict-of-law rules. Exclusive venue for disputes that are not resolved informally lies in the state or federal courts located in North Carolina, and you consent to personal jurisdiction there.
Before filing a claim, you agree to email support@hiroba.io and attempt good-faith resolution for 30 days.
These Terms are the entire agreement regarding the Service and supersede prior conflicting terms for the same subject. If a provision is unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
